Terms and conditions governing access to and use of Quantum Horizons platforms, advisory services, and digital channels.

Please read these Terms and Conditions ("Terms") carefully before using the website located at www.q-horizons.com (the "Site") or any of the services offered by Quantum Horizons ("Quantum Horizons," "we," "us," or "our"), including business advisory, executive mentoring, board advisory, C-Level as a Service, strategy execution support, and connection to our network of specialists and investors (collectively, the "Services").
By accessing the Site or using the Services, you ("you" or "Client") agree to be bound by these Terms. If you do not agree, please do not use the Site or the Services.
Quantum Horizons provides business advisory, executive mentoring, and board-level guidance to companies and executives, including strategic planning, financial, marketing, infrastructure, and technology advisory. Quantum Horizons may also (a) connect Clients with independent specialists and partner firms to help execute strategic plans, and (b) facilitate introductions between companies seeking funding and prospective investors through our investment-connection hub.
No professional advisory, mentoring, or board relationship is formed until a separate written engagement agreement or statement of work has been signed by both parties. General content on the Site is provided for informational purposes only and does not, by itself, create any advisory relationship.
The Services are intended for business entities and professionals. By using the Site or the Services, you represent that you are at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the entity you represent.
Business, executive, and board advisory work involves inherent uncertainty. Quantum Horizons does not guarantee any specific business outcome, financial result, growth metric, successful introduction, or securing of funding or investment. Any examples, case studies, or testimonials referenced on the Site reflect individual experiences and are not a guarantee of similar results for any other client.
Quantum Horizons may introduce companies seeking capital to prospective investors, and vice versa. This service is limited strictly to facilitating introductions. Quantum Horizons:
Any company or investor participating in the investment-connection hub is solely responsible for conducting its own due diligence, and for complying with all applicable securities laws and regulations. See the Disclaimer for additional detail.
Specialists and partner firms referred by Quantum Horizons to assist with strategy execution are independent contractors and are not employees, agents, or legal representatives of Quantum Horizons. Quantum Horizons is not responsible for the acts, omissions, work product, or professional conduct of any independent specialist or partner firm. Any engagement between a Client and a specialist or partner firm is a separate agreement between those parties.
You agree to: (a) provide accurate, complete, and current information; (b) use the Site and Services only for lawful purposes; (c) not misrepresent your identity, business, or financial situation; and (d) not use the Site or Services to infringe the rights of any third party.
Fees for advisory, mentoring, board, or C-Level services will be set out in a separate engagement agreement or invoice. Unless otherwise agreed in writing, fees are non-refundable once services have been rendered.
All content on the Site, including text, graphics, logos, methodologies, frameworks, and materials developed by Quantum Horizons, is the property of Quantum Horizons or its licensors and is protected by applicable intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from this content without our prior written consent, except as necessary to use the Services for their intended purpose.
Each party may share confidential business information in the course of the Services. Both parties agree to use reasonable care to protect confidential information received from the other and to use it solely for the purposes of the engagement, except as otherwise required by law.
TO THE FULLEST EXTENT PERMITTED BY LAW, QUANTUM HORIZONS AND ITS OFFICERS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING FROM YOUR USE OF THE SITE OR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM THE SITE OR SERVICES SHALL NOT EXCEED THE FEES PAID BY YOU TO QUANTUM HORIZONS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
You agree to indemnify and hold harmless Quantum Horizons, its officers, employees, and affiliates from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your breach of these Terms, your use of the Services, or your violation of any applicable law or third-party right.
The Site may contain links to third-party websites. Quantum Horizons does not control and is not responsible for the content, accuracy, or practices of any linked third-party site.
We may suspend or terminate your access to the Site or Services at any time, with or without cause or notice, including for violation of these Terms. Sections that by their nature should survive termination (including Sections 3, 4, 5, 8, 9, 10, 11, and 14) will survive.
These Terms shall be governed by the laws of the State of Wyoming, without regard to its conflict of laws principles. Any dispute arising from these Terms or the Services shall be resolved through binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules, with the arbitration seated in Sheridan County, Wyoming. Notwithstanding the foregoing, either party may seek injunctive or equitable relief in a court of competent jurisdiction to protect its intellectual property or confidential information.
We may revise these Terms at any time. The updated version will be indicated by a revised "Last Updated" date. Continued use of the Site or Services after changes take effect constitutes acceptance of the revised Terms.
